This is only surprising to non lawcels

It is a binding as a "yes" in the same situation would be

He was on a call with the, he said I'll text you a picture of the contract and the guy replied thumbs up to the text

That could just as easily be acknowledging you got it, that's standard practice in slack and imessage with everyone I know.

This isn't like replying in email with words or a handshake

>he said I'll text you a picture of the contract and the guy replied thumbs up to the text

The article said

Mickleborough then texted a photo of a contract to Archter and said, "please confirm flax contract.”

This is where things get weird. Achter responded to this text with a thumbs-up Emoji

The thumbs up wasn't to a picture of the contract, it was to the message "please confirm flax contract"

Unless there's missing details, I tend to agree with the court's decision

sounds dangerous tho, hopefully there was more context than that

They both admit to have discussed the terms of the contract by phone before the texting

In a world where verbal contracts exist and are enforced daily, this is pretty solid

Typically, a legal contract requires quite a bit of scrutiny to be admissible in court. The contract usually needs to be signed and dated by the person(s) involved at the very least, and sometimes you need a witness, such as a notary.

This was all done beforehand and they were texting about finalization PLUS they successfully negotiated contracts through text like this in the years prior

That headline is WILDLY inaccurate.

The two people had a pre-existing business relationship and often conducted their business completely by SMS message.

There is a longer write-up elsewhere with more history of deals between the two, confirmed by SMS language (not emojis), but more obviously familiar with the specific terms of the written contract. The seller seems to have gotten a strangely rough ride from this judge - but there is a right of appeal.

WOW ANOTHER SAY-NOTHING NEWS ARTICLE THAT DOESN'T EXPLAIN ANY OF THE DETAILS WHILE SOMEONE IN THE COMMENTS DOES

Meanwhile, farmer Chris Achter argued that the Emoji response was a sign that he had received the contract, not that he had read it nor agreed to it. Mickleborough countered this by showing evidence of Achter agreeing to previous contracts through text messages, although none using a thumbs-up Emoji.

how the frick is this possibly a valid counterargument

"but your honor look at these other cases where he used words to accept a contract therefore this emoji is sufficient"

Why did the farmer not follow up by rejecting the contract?

Why didn't the other guy ask for some kind of explicit confirmation?

Jump in the discussion.

He did. He sent a message saying “please confirm contract” after sending the image

And he didn't get an actual confirmation

The chain of the events taken together would lead most to believe that’s an explicit confirmation.
