Acceptance of Terms of Use

This contract is entered into by and between You and rdrama.net ("rDrama"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, the "Terms of Use"), govern your access to and use of rDrama, including any content, functionality, and image and video hosting services offered on or through rDrama whether as a guest, registered user, or otherwise. By accessing rDrama in any capacity, you certify that you have carefully read and understood the full Terms of Use and that you accept and agree to be bound and abide by these Terms of Use and our Site Rules incorporated herein by reference. If you do not agree to these Terms of Use and the Site Rules, you may not access or use rDrama. rDrama is offered and available to users who have reached the age of majority and are therefore able to accept this binding legal contract with rDrama. For those who reside in the United States or any of its territories or possessions, you must be 18 years of age or older. Those who reside in other countries must be at least 18 years of age as well as having reached the age of majority if higher for their respective country. By accessing rDrama, you represent and warrant that you are at or over of the age of majority in your country of residence.

Changes to Terms of Use

rDrama may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when posted, and apply to all access to and use of rDrama thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have verified notice on or before the date the change is posted on rDrama. Your continued use of rDrama following any change to the Terms of Use means that you agree to and accept these changes. These Terms of Use are always available from the rDrama menu and you are expected to check this page periodically to ensure you are aware of any changes since they are binding to you.

Accessing rDrama and Account Security

rDrama reserves the right to withdraw or amend rDrama content, material or provided by rDrama, at our sole discretion without notice. rDrama will not be liable if for any reason all or any part of rDrama is unavailable at any time or for any period. From time to time, rDrama may restrict access to some parts of rDrama from users, including registered users for technical, security or discretionary reasons. You are responsible for both: 1) Making all arrangements necessary for you to legally access rDrama. 2) Ensuring that anyone who accesses rDrama through your internet connection is aware of these Terms of Use and will separately agree and accept them. To access rDrama or some of the resources it offers, you may be asked to provide certain registration details or other information personal information, such as identity documents. It is a condition of your use of rDrama that all the information you provide on rDrama is correct, current, and complete. You agree that all information you provide to register with rDrama, including but not limited to, through the use of any interactive features on rDrama, is governed by these Terms of Use, and you consent to all actions rDrama takes with respect to enforcement of these Terms of Use and Site Rules. If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to rDrama via your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. rDrama will not be liable for your losses caused by any unauthorized use of your account. You also agree to ensure that you will take technical measures to protect unsupervised access to your account, either by securing your device or logging out of your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to access rDrama without having separately reviewed and accepted these Terms of Use. rDrama has the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use, Site Rules, or commonly-understood online community standards.

Prohibited Uses

You may access rDrama only for lawful purposes and in accordance with these Terms of Use. You agree not to use rDrama: - In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries). - For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise. - To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the content standards set out in these Terms of Use, or the Site Rules. - To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation. - To impersonate or attempt to impersonate rDrama, rDrama staff members, another user, or any other person or entity (including, without limitation, by using email addresses, usernames or screen names associated with any of the foregoing). References intended for parody or humor may be allowed on a case-by-case basis at the sole judgment of rDrama. - To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of rDrama, or which, as determined by us, may harm rDrama or its users, or expose them to liability. Additionally, you agree not to: - Use rDrama in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of rDrama, including their ability to engage in real time activities through rDrama other than through the use of the "Awards" function when used for their intended purpose. - Use any device, software, or routine that interferes with the proper working of rDrama. - Introduce any viruses, Trojan horses, worms, logic bombs, malware in general, or other material that is malicious or technologically harmful. - Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of rDrama, the servers on which rDrama is stored, or any server, computer, or database connected to rDrama. - Initiate or facilitate an attack rDrama via a denial-of-service attack, a distributed denial-of-service attack or other means that sends more request messages to rDrama servers in a given period of time than a human can reasonably produce in the same period using a conventional browser. - Otherwise attempt to interfere with the proper working of rDrama.

User Contributions

rDrama is built predominantly around a forum model, with chat rooms, personal profiles, direct messages, comments, flairs, private chats, and other interactive features that allow users to post, submit, publish, display, or transmit to other users or other persons content or materials (collectively, "User Contributions") on or through rDrama. All User Contributions must comply with the content standards set out in these Terms of Use and the Site Rules. Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on rDrama, you grant rDrama and its affiliates and service providers, and each of their and our respective licensees or successors the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose/according to your account settings. Accordingly, you hereby grant rDrama and its affiliates and service providers, and each of their and our respective licensees or successors a worldwide, irrevocable, non-exclusive and transferable license to use, copy, prepare derivative works of (including without limitation, to rename, edit, shorten, modify (e.g., split submissions such as videos into multiple segments, and use the entire video or segments as part of compilations)), display, and perform the User Contributions in connection with rDrama and without limitation to grant similar access to rDrama and User Contributions to third parties. You represent and warrant that: - You own or control all rights to any User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns. - All of your User Contributions do and will comply with these Terms of Use and Site Rules. - You have the written consent and/or permission of each and every identifiable individual person in the User Contributions to use their name or likeness as contemplated by rDrama and these Terms of Use. You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not rDrama, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. rDrama is not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of rDrama. You acknowledge that you may be exposed to User Contributions that are inaccurate, offensive, indecent, or otherwise objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you may have against rDrama. You acknowledge that access to certain content which may be available through rDrama, including linked content provided by third parties, may depict violence, or contain images of nudity, sexual acts, or other sexual material.

Monitoring and Enforcement; Termination

rDrama has the right to: - Remove or refuse to post any User Contributions for any or all reasons at our sole discretion. - Take any action with respect to any User Contributions that rDrama deems necessary or appropriate in our sole discretion, including if rDrama believes that such User Contribution violates the Terms of Use or content standards, infringes any intellectual property right or other right of any person or entity, or threatens the personal safety of users of rDrama or the public, or could create liability for rDrama. - Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy, for example through a DMCA takedown request. - Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of rDrama. - Terminate or suspend your access to all or part of rDrama for any or no reason, including without limitation, any violation of these Terms of Use. Without limiting the foregoing, rDrama has the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through rDrama. YOU WAIVE AND HOLD HARMLESS rDrama AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY rDrama OR ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY rDrama, SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES. As a content platform, it is impossible to undertake prior review of all material posted on rDrama. Accordingly, rDrama assumes no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. rDrama has no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not: - Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, inflammatory, or otherwise objectionable (including, but not limited to, falsehoods or misrepresentations that could damage rDrama or any third party). - Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age. - Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person. - Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy. - Promote any illegal activity, or advocate, promote, or assist any unlawful act. - Impersonate any person, or misrepresent your identity or affiliation with any person or organization. - Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising outside the scope of rDrama's native, zero-value "currencies" and other zero-value "goods" native to rDrama such as Badges, Emojis, Awards, and so on. - Misidentify you, misrepresent your true identity or otherwise give the impression that they emanate from or are endorsed by rDrama or any other person or entity, if this is not the case.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless rDrama, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of rDrama, including, but not limited to, your User Contributions, any use of rDrama's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from rDrama.

Governing Law and Jurisdiction

All matters relating to rDrama and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Texas, USA without giving effect to any choice or conflict of law provision or rule (whether of the State of Texas or any other jurisdiction). Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or rDrama shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, although rDrama retains the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Limitation on Filing Claims

Prior to the initiation of any legal action, you agree to contact [email protected] by email in order to arrange confidential and timely electronic service for all legal correspondence. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR rDrama MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by rDrama of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of rDrama to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Assignment

The rights and obligations under these Terms of Use may not be transferred or assigned by you, but may be assigned by rDrama without restriction.

Entire Agreement

The Terms of Use, our Site Rules, our Privacy Policy and any referenced works constitute the sole and entire agreement between you and rDrama regarding this website and its related services and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding rDrama.
