SEC has vast power to regulate securities, and if you want to sell them in the U.S., you need to jump through a bunch of hoops. It's long been an open question as to what, if any cryptocurrencies fall under their purview. They investigated, determined that HawkTuahCoin was not, and so closed the investigation.
